These Terms of Use (“Terms”) are a legally binding agreement between Miinded, a French simplified joint
stock company (société par actions simplifiée) with a share capital of 40 € and registered before the Trade
and Company Register of Grasse under number 907 927 461 (“Miinded”, “we” or “us”) and you as a
natural individual (“you”) regarding your use of the Foxaria platform (the “Platform”) and your
participation in web3-base gaming activities available from the Platform.
By signing up and accessing the Platform, you confirm that you have read, understood and agreed to these
Terms, and that you comply with it.
“Add-Ons” means the additional mini-games or features within the Game, such as phishing activities, slot
machine or any additional gaming features, that may be available from time to time.
“Communities” means the Cryptofoxes Community and the Partner Communities.
“Community NFT” means a NFT from the Cryptofoxes collection or any Partner Community collection
typically linked to a visual design.
“Cryptofoxes Community” means the community of people who own NFTs from the Cryptofoxes
collection developed by Miinded.
“Game” means the main Foxaria game, in which you play using a Shadow character to complete levels,
quests or challenges as quickly as possible.
“Leaderboard” means the ranking of the top players based on how fast they complete the Game.
“NFT” means a non-fungible token on the Ethereum blockchain.
“Partner Community” means any NFTs collection communities officially listed on the Platform.
“Potion” means an item you can buy in the Shop that serves various purposes, such as to allow you to
change the color of your Premium Shadow’s appearance according to a specific Community NFT.
“Premium Shadow” means the pay-to-play on-chain avatar character available to play the Game that can
be customized according to a Community NFT you own by drinking a Potion and other in-game cosmetic
assets.
“Restricted Countries” means any country under embargo or other financial sanctions from the U.S., the
U.K., the European Union (including any of its Member States) or the United Nations. Users from these
regions are not allowed to access the Platform or receive rewards.
“Services” means collectively the Platform, the Game and the Add-Ons.
“Shadow” means both Standard Shadow and Premium Shadow characters.
“Shop” means the in-game or platform-based store where you can buy items.
“Standard Shadow” means the free-to-play off-chain standard character available to play the Game
without purchasing any NFTs or assets.
“Wallet” a supported third-party blockchain-based digital wallet that you own or control.
2.1. Prerequisites. You need an internet connection (at your own cost) and must register on the Platform to
access the Game.

2.2. One Account per Player. You may register only once using one Wallet. Multiple registrations by the
same individual are not allowed and will result in automatic termination of your participation of the Game
as well as your permanent exclusion from any further access and use of the Services.
2.3. Technical and Eligibility Requirements. To access the Game and Services, you must:

be conducted in accordance with our privacy policy available on the Platform.

3.2. Game Duration. The solo campaign mode and Add-Ons are available indefinitely unless discontinued
by us at any time without prior notice.
The tournament mode last for 4 week months, the start and end dates are announced on the Platform. The
tournament is divided into two phases: the first one is open to all players and last 3 weeks while the second
one is the final stage that is open only to the top ranking players on the Leaderboard at the end of the 3-
weeks initial period.
The contest events (such as daily or weekly quest or private or public special events) run for a limited time,
with dates listed on the Platform. We may change them or cancel them without prior notice.
3.3. Shadow Characters. Each Shadow use to play in the Game is a standard character unless customized
by assets purchases for Premium Shadows only. The Standard Shadows are free and not NFTs, they are not
tradable or transferable digital assets available within or outside the Game. The Premium Shadows are paid
NFTs, they are tradeable and transferable digital assets outside the Game and they can be customized using
in-game items.
3.4. Community Features. If you own a Community NFT, you can purchase a Potion to customize the skin
of your Premium Shadow with a visual style tied to that Community. If you belong to multiple
Communities, you must choose one appearance of a Community and you cannot switch between them
overtime.
3.5. Game Progress Analysis. We draw statistics on each player’s progression in the Game and display
your gameplay statistics on the Leaderboard if you rank among the top players.
4.1. Game Structure. The Game includes levels, quests and time-based challenges.
In the tournament, your best time counts for ranking and get rewards if you rank as top players.
You get a limited number of daily attempts to improve your score. This limit may vary based on your
Premium Shadow’s characteristics, the Game entry, bonuses or rewards you own and use.
In the solo campaign mode, when you complete certain levels, you will be able to unlock medals or get in-
game rewards. Similarly, upon achievement of quest, you can earn in-game rewards or earn points to
improve you ranking in the Leaderboard.
You may store Potions or use them immediately.
Any cheating or violation of these Terms will lead to disqualification, loss of rankings and permanent ban
from the Services.
4.2. Add-Ons.
Phishing Game. The purpose is to try to catch a fish within an allocated time and earn in-game items. To
play, you need:
Slot Machine. The slot machine lets you win in-game cosmetic assets (which rarity depends on the type of
slot machine tickets you purchase) or change the color of an item you already own. To use it, you need a
slot machine ticket which you can either buy from the Shop or earn as a reward during the Game.
5.1. Bonus. Bonuses are temporary advantages that may help improve your Game performance (e.g., extra
tries, speed boosts, etc.). Details on how to obtain and use bonuses are provided on the Platform or in the
Shop. Bonus are usable in-game only, we will not convert them into cash or any other monetary form.
5.2. Promotional activities. We and/or any Partner reserves the right to offer promotional offers or price
reductions at discretion. The conditions applicable to any promotions and price reductions will either be
provided by us on the Platform and by Partner by any means of communication they choose. Unless
expressly stated otherwise, discount codes are not cumulative. Promotional offers are not convertible into
cash or any other monetary form by us or any of our Partners.
5.3. Rewards for top players on the Leaderboard. During the tournament of the Game, the best-ranked
players on the Leaderboard, which are those who are competing during the final phase and finish all levels
of the Game in the shortest time, will receive prizes. Prizes can include cash prize (paid in Ether or in
Dollars), NFTs, Game tokens, skins and other in-game items. The value and type of rewards, depending on
ranking, will be announced on the Platform prior to the start of the tournament.
The prizes are sent via airdrop and the players will not pay gas fees on it.
Any player who qualifies for a cash prize may need to go through identity verification (KYC) and meet all
legal requirements before receiving it.
We offer a referral program that allows you to invite other players to discover the Platform and join the
Game.
6.1. Eligibility. You become eligible as a “Referrer” once you own at least one Premium Shadow. Upon
eligibility, a unique referral link is automatically generated and made available on the dashboard associated
to your connected Wallet on the Platform.
As a Referrer may invite eligible new users (each a “Referred Player”). A Referred Player must:
6.2. How It Works. To participate, simply share your referral link with your Referred Players. When a new
user registers via this link and purchases a Premium Shadow, the referral is activated automatically.
6.3. Benefits. The Referrer receives 20% of the net revenue generated by the Referred Player’s purchases,
excluding Potions. This benefit is credited automatically to the Referrer’s in-game Wallet.
The Referred Player receives an exclusive bonus on the first Premium Shadow purchased. The nature of the
bonus is defined on the Platform and may vary depending on the current promotional campaign.
Benefits are transferred upon final and effective purchase. These benefits are non-redeemable for cash and
non-transferable. They cannot be refunded or exchanged and may only be used within the Game. Unless
stated otherwise, referral benefits may not be combined with other promotional offers or additional referral
benefits.
Each benefit may be subject to an expiration date, which will be indicated in your account.
6.4. Restrictions and Abuse. You agree to make fair and reasonable use of the referral program. The
following practices are strictly prohibited and considered abusive (non-exhaustive list):
We reserve the right to investigate any suspicious activity. If we find you or your Referred Players to be in
breach of these rules, we may:
6.5. Program Duration. We reserve the right to modify, suspend or permanently terminate the referral
program at any time and without prior notice. Changes will not affect any valid referral already completed
before the effective date of such changes.
7.1. Our rights over the Services. We and our licensors own all the material and intellectual property rights
related to the Services, including design, code, graphics, logos, databases, software, trademark, algorithms
and content. The Terms do not grant you any rights whatsoever, except a limited license. When accessing
or using the Services, you undertake not to infringe directly or indirectly our property rights or those of our
licensors.
7.2. Your rights over the Services. Subject to your compliance with the terms of the Terms, we grant you,
for the duration of the Terms or the duration of the Game, which ever last first, a personal, non-exclusive,
non-transferable and non-sublicensable license to access and use the Services, including the use of your
Shadow character, for personal use to the exclusion of any commercial use. We reserve all rights not
expressly granted to you.
You must not reproduce, represent, use, modify, adapt, translate, transform, communicate, distribute or
make available to third parties, extract, download, store or create derivative works from all or part of the
Services without our prior written consent.
We do our best to keep the accessibility and availability of the Services, provided that you comply with the
Terms. However, we cannot guarantee that the Services will be uninterrupted, error-free or free from
malware or other harmful components.
Temporary interruptions may occur due to maintenance, technical updates, internet issues, or the
blockchain networks. We may also restrict access to comply with legal obligations or to enforce these
Terms.
The Services are provided by us to you “as is” and “as available” basis without any warranty of any kind
from us. Subject to applicable law, we expressly disclaim any and all warranty or conditions. By using the
Services, you expressly agree to bear all risks inherent to the access to and use of the Services.
10.1. Our liability. We are not liable for any indirect damages, such as loss of income, profits, opportunity,
data, goodwill or reputation.
We are only bound to provide our best efforts with regard to the operation of the Services. Subject to
applicable law, our total liability for direct damages is limited to the equivalent in Ether of $100 or the
amount of the item you’ve purchased from the Shop that gave rise to our liability.
10.2. Your liability. You are solely responsible for your use of the Services and your breach of these Terms.
It is your responsibility to take all appropriate steps to protect your equipment and the information stored
on your equipment, including any Wallet you own or control.
The Terms are governed by French law. Any dispute between you and us must first try to be sorted out
amicably, to that end please contact us at [to be [email protected] and provide us contact details as
well as any information to allow us to appreciate your claim.
If we cannot settle the dispute through alternative dispute resolution means, you may refer the dispute to
the competent court within the jurisdiction of the French court of Appeal of Nantes, unless other court is
competent in accordance with overriding mandatory provisions applicable in your country of residence.
The Terms apply for as long as you use the Services or participate in the Game.
We reserve the right to update these Terms at any time. If we make any significant changes, you will be
notified (by any means, including on the Platform) in advance and updated Terms will apply from the date
they come into effect. If you do not agree to any updated terms, you should stop using the Services. Your
continuing use of the Services following the entry into force of a change of the Terms constitutes your
acceptance of the revised terms.
Any failure from us to enforce our rights under the Terms shall not be deemed to be a waiver.
We can assign or transfer our rights and obligations under the Terms to any third party; upon transfer
Miinded will be released from its obligations and liabilities.
We reserve the right to delegate all or part of our obligations to any third-party service providers appointed
at our discretion.
If any provision of the Terms is determined to be void, inapplicable or unenforceable by virtue of law or by
any final court ruling, the remainder of the Terms will be in full force and effect.
You expressly acknowledge and agree, as a convention of proof, that the information collected by us
concerning the use of the Shop will constitute valid evidence and will be admissible and enforceable
between you and us.
These Terms along with our privacy policy and any supplementary terms regarding purchase on the Shop
make up the entire agreement between you and us in relation to the Services we provide, they supersede
and replace any prior agreement.
